These Terms of Service (“Terms”) govern all services provided by ShineHill Studio (“we,” “us,” or “our”) to you (“Client,” “you,” or “your”). By engaging our services or using https://shinehill.studio, you agree to these Terms.

1. Services Provided

ShineHill Studio provides website design, development, hosting, domain management, and related digital services. These Terms also apply to any future services we may offer that are within the realm of website design, hosting, and associated digital solutions.

2. Payment & Billing

• Recurring Payments: Most services are billed on a monthly recurring basis via secure payment processing through Stripe.
• Late Payments: If payment is not received within 10 days of the due date, a $10 late fee will be added to your account. If payment is more than 20 days late, your website may be suspended and taken offline until the balance is paid in full.
• Non-Refundable Payments: Payments made are non-refundable unless otherwise stated in writing.

3. Service Commitment & Ownership

• 24-Month Term: Our website design and hosting plans require a 24-month minimum commitment after the initial setup fee.
• Ownership During the Term: Until the 24-month commitment is completed, all website design files, code, and related materials remain the property of ShineHill Studio.
• Ownership After Completion: Upon full payment and completion of the 24-month commitment, ownership of the completed website is transferred to you.
• Early Termination: If you cancel before completing the 24-month term, you forfeit ownership of the website.

4. Cancellation Policy

• Notice: All cancellations must be submitted in writing or by email to privacy@shinehill.studio.
• Timing: Cancellations are effective at the end of the current billing cycle unless otherwise agreed in writing.

5. Client Responsibilities

• Content: You are responsible for providing lawful, non-infringing content for your website. This includes text, images, videos, and other media.
• Third-Party Rights: You represent and warrant that all content you provide does not violate third-party intellectual property rights, privacy rights, or applicable laws.
• ShineHill-Provided Content: If we provide content (e.g., stock images, copywriting), we ensure it is legally permitted for use on your website.

6. Third-Party Services

We rely on trusted third-party providers, including:

• Stripe for payment processing
• DreamHost for hosting
• Porkbun for domain management
• Google Analytics & HubSpot CRM for analytics and client management

These providers have their own terms and privacy policies, and ShineHill Studio is not liable for their independent actions.

7. Service Availability & Maintenance

We strive to provide reliable and continuous service. However, occasional downtime may occur due to maintenance, server issues, or third-party outages. We are not liable for any damages resulting from temporary service interruptions.

8. Limitation of Liability

To the fullest extent permitted by law, ShineHill Studio shall not be liable for:

• Any indirect, incidental, or consequential damages.
• Losses caused by downtime, delays, or third-party service interruptions.
• Issues arising from client-provided content.

Our total liability for any claim related to services will not exceed the total amount paid by you in the 12 months preceding the claim.

9. Dispute Resolution

Any disputes shall be governed by the laws of the State of Missouri and resolved exclusively in the state or federal courts located in Texas County, Missouri.
